SPT MODELS / LICENCE

Terms of use and software licence

Public website and self-hosted software — version 1.0 dated 16 September 2026.

01Scope and applicable documents

SPT Models is self-hosted multimodel administration and inference software published by SPONGE THEORY, a French single-member limited liability company, share capital €750,100, Versailles company registration 531 261 741, registered office 27 rue Maximilien de Robespierre, 78711 Mantes-la-Ville, France. Contact: contact@sponge-theory.ai; +33 6 78 91 46 82. See the legal notice.

These terms govern the website and constitute the software licence. The terms of sale, offer and confirmation specify purchased rights. Lemon Squeezy’s terms govern transactions made with that reseller. Expressly agreed specific provisions prevail over incompatible general provisions without reducing mandatory rights.

The applicable version is supplied when ordering. Visiting the site does not constitute a purchase or acceptance of a new licence. Later changes do not retrospectively reduce acquired rights. The French and English versions express the same commitments; translation differences cannot deprive consumers of mandatory protections.

02Source-code licence

Subject to payment and contractual compliance, Sponge Theory grants the buyer a non-exclusive right to install, run, reproduce for operation and backup, study and adapt the delivered source code within the plan limits, for personal or professional use on infrastructure they are authorised to administer. For lawfully acquired versions, this right lasts for the statutory duration of software copyright protection: ending updates or a subscription does not end it.

Authorised employees and contractors may act for the buyer within its licence limits, subject to appropriate confidentiality and security obligations. Inactive backups do not count as additional installations. An installation/cluster means a distinct operated SPT Models environment; a cluster may include several nodes.

Delivery does not transfer intellectual property. Reselling, redistributing to third parties or sublicensing the proprietary software or source code requires Sponge Theory’s specific written agreement. This restriction concerns supplying the software or code as a product to a third party; it does not prohibit hosting inference for customers or selling services or content produced through authorised use. It does not restrict statutory software exceptions or rights separately granted by open-source licences.

03Plans and third-party licences

Early Adopter covers three installations/clusters, twelve months of commercial updates after purchase and no support. Team covers up to ten GPU nodes per cluster, updates and priority email support during the annual subscription. Enterprise is defined by an accepted quotation. The terms of sale detail these plans. Limits are contractual, with no licence key or activation required for delivery.

Third-party components, models, weights and datasets retain their own licences and terms, which may impose commercial, territorial or use restrictions and specific permissions. Listing a model is not universal permission for commercial use. Review licences before downloading and operating, obtain necessary authorisations and retain required notices.

04Requirements and security

The central stack uses Docker Swarm; Kubernetes and Docker Compose are not supported deployment orchestrators for this stack. Portainer is independent of Sponge Theory and recommended, but its purchase is not required by the licence. NVIDIA workers require hardware, drivers and a CUDA environment compatible with selected models. Compatible Apple workers run natively on macOS as documented. You do not need all worker types simultaneously.

RAM, VRAM, storage and dependencies vary by model and recipe: check the supplied documentation and library. Internet access is needed for purchases and selected external downloads and integrations. Infrastructure, power, networking and third-party services are not supplied with the licence unless a quotation states otherwise.

The administrator manages accounts, permissions, secrets, networking, backups and updates, and tests changes before wider deployment. Unauthorised access and interference with third-party systems are prohibited. Report vulnerabilities to contact@sponge-theory.ai without sharing secrets or unnecessary personal data.

05Data and assistance

You retain your rights in your data and must have the rights and legal bases needed to process it, including third-party images, voices and personal data. Rights in outputs depend on applicable law and model licences; exclusivity and automatic copyright protection are not guaranteed.

Self-hosting does not remove external traffic from enabled downloads, updates and integrations. Purchase does not automatically give Sponge Theory administrator access to your installation. Support access requires express permission, limited scope and revocation when no longer needed. Do not send secrets in support requests. Any intervention processing personal data on your behalf requires relevant instructions and data-processing terms to be defined beforehand.

The privacy policy covers the website and commercial correspondence. Licence acceptance is not consent to audience measurement.

06Artificial intelligence use

SPT Models is a general-purpose platform, not by itself a medical or legal service or a certified solution for regulated decisions. Do not use it for unlawful activities, practices prohibited by the EU AI Act or infringements of people’s rights. Assess obligations for your use case before production. This clause does not transfer Sponge Theory’s legal obligations to the customer.

Outputs may contain errors, bias or protected material. Provide oversight proportionate to the risks and verify outputs before publication or consequential decisions. Observe disclosure obligations for AI interactions, synthetic content and deepfakes, and image and voice rights. See AI and transparency; that page does not certify general compliance of all uses.

07Guarantees and liability

The site may experience maintenance interruptions or incidents. Availability of self-hosted installations depends on infrastructure and configuration. No uptime, throughput or support timing commitment applies without a specific agreement. This does not remove promised characteristics or statutory guarantees.

Each party is responsible for breaches attributable to it under applicable law. These terms impose no general liability cap and exclude no legally recoverable losses. Consumer guarantees and remedies, including digital conformity and updates needed to maintain it, are set out in the terms of sale. They do not end with commercial support.

08Breach and termination

A sufficiently serious breach is notified with reasons, the facts, required action and a reasonable cure period, normally thirty days, adapted to the issue. If not remedied, the injured party may terminate affected obligations under applicable law. Situations legally justifying immediate action, notably to protect security or stop serious harm, remain subject to necessity and proportionality.

Non-renewal ends future commercial services, not the licence of lawfully acquired versions. Termination for serious breach or a refund legally requiring restitution may require affected use to cease and copies to be deleted, subject to statutory rights and third-party components. These terms provide for no automatic remote disabling. Customer data is not deleted or withheld as a contractual penalty.

09Complaints and governing law

Send complaints to contact@sponge-theory.ai or the registered office, with the order reference and a description. For Lemon Squeezy transactions, also contact the seller identified in the confirmation. Seeking an amicable resolution does not prevent statutory remedies.

Sponge Theory has not appointed a consumer mediator to date. This does not amount to a consumer waiver or an assertion that mediation obligations have been fulfilled.

French law governs the relationship with Sponge Theory without depriving consumers of mandatory protections of their country of residence where applicable. Competent courts are determined by law; no exclusive territorial jurisdiction is imposed on consumers. If a provision is unenforceable, the others remain effective to the extent permitted by law.

Keep the version applicable to your order together with your purchase confirmation.
